NCLT Approves Lumax Auto Subsidiary Merger
The National Company Law Tribunal has sanctioned the merger of Greenfuel Energy Solutions with Lumax Resources, though the order contains factual errors requiring rectification before final implementation.
Lumax Auto Technologies Limited has informed stock exchanges that the National Company Law Tribunal's Chandigarh Bench has approved the amalgamation scheme involving its subsidiary companies.
The tribunal pronounced its order on January 14, 2026, sanctioning the Scheme of Arrangement for the merger between Greenfuel Energy Solutions Private Limited, a step-down subsidiary of Lumax Auto Technologies, and Lumax Resources Private Limited, a wholly-owned subsidiary of the company.
The amalgamation scheme was undertaken in accordance with Sections 230 to 232 of the Companies Act, 2013, and involved the respective shareholders and creditors of both entities.
However, the company has identified certain factual errors in the order uploaded on the NCLT's official website. Lumax Auto Technologies is currently taking necessary steps to rectify these errors with the tribunal.
Lumax Auto Technologies Limited is a member of the Lumax-DK Jain Group and operates in India's automotive component manufacturing sector. Incorporated in 1981, the company is headquartered in Gurugram, Haryana, and has over four decades of industry experience serving original equipment manufacturers and the aftermarket segment.
The company operates 30 manufacturing facilities across seven states in India, supported by two engineering centers. It employs over 7,000 professionals and maintains partnerships with nine global automotive industry leaders, including companies from Japan, Germany, Italy, Israel, Spain, and the United States. These partnerships have facilitated the development of technologically advanced automotive products.
Lumax Auto Technologies manufactures a diversified product range that includes two-wheeler lighting, chassis and swing arms, three-wheeler trailing arms, gear shifters and transmission systems, intake systems and integrated plastic modules, oxygen sensors, seat structures, kinematic components, telematics products and services, antenna systems, power window switches, interior systems, green and alternate fuel solutions, and aftermarket offerings.
It holds a leading market position in gear shifters and interior solutions in India, with more than 80 percent market share across passenger vehicle customers. It is noted as the sole domestic manufacturer with the capability to produce and supply gear levers for electric vehicles.
Lumax Auto Technologies has maintained 40 percent of its production space available for future expansion. The company operates with pan-India marketing and service presence, focusing on precision-engineered solutions for the two-wheeler, three-wheeler, and four-wheeler segments.
The organization has received various awards and recognitions, both domestically and internationally, for excellence in manufacturing, total productive maintenance, quality control, cost management, and human resources practices across its various plants located in different states.
