Samvardhana Motherson Approves Stake Acquisition in HR Dhauliganga for Solar Captive Plant
The company and its subsidiaries will invest up to ₹141.3 million to acquire a 28.15% equity stake in HRDPL, supporting renewable energy supply across multiple facilities in Tamil Nadu.
Samvardhana Motherson International Limited (SAMIL) announced that its Board of Directors has approved the execution of Power Delivery Agreements (PDA) with HR Dhauliganga Private Limited (HRDPL). The agreements, undertaken by the company and its subsidiaries, are part of a broader sustainability initiative to enhance renewable energy usage across SAMIL’s operations.
The planned ~50MWp solar captive plant will supply renewable energy to several of SAMIL’s operational sites in Tamil Nadu, with an estimated reduction of 1.38 million metric tons of CO₂ emissions over the project’s lifespan. To meet the regulatory conditions for captive energy generation under Indian electricity laws, SAMIL and its subsidiaries will acquire a collective 28.15% equity stake in HRDPL, with SAMIL independently holding 18.35%.
The investment will be made through cash consideration, amounting to up to ₹141.3 million in one or more tranches, with completion expected in Q2 FY26. HRDPL is a special purpose vehicle incorporated on December 10, 2024, by Hinduja Renewables Energy Private Limited, which will retain majority ownership.
