Bosch to Acquire Bosch Chassis Systems India for up to ₹9,068.68 Crore
Following completion, RBIC will become a wholly owned subsidiary of Bosch Ltd and will also be classified as a material subsidiary.
Bosch Ltd has approved the acquisition of a 100% stake in Bosch Chassis Systems India Private Limited (RBIC) from its existing shareholders, Robert Bosch Investment Nederland B.V. (RBNI), Netherlands, and Robert Bosch LLC, USA.
The acquisition will be executed through a share purchase agreement among Bosch Ltd, RBNI, Robert Bosch LLC, and RBIC, for a total consideration not exceeding ₹9,068.68 crore. The transaction will involve both cash and non-cash components.
Following completion, RBIC will become a wholly owned subsidiary of Bosch Ltd and will also be classified as a material subsidiary.
Separately, Bosch has approved the issuance of 1,230 equity shares with a face value of ₹10 each at a price of ₹35,200 per share, including a premium of ₹35,190. The shares will be issued on a preferential basis for consideration other than cash to RBNI and Robert Bosch LLC, both of which are part of the promoter group.
RBIC is an automotive components company focused on chassis systems, including braking, steering and safety technologies for passenger and commercial vehicles. RBIC plays a role in localising global technologies and supporting vehicle safety and performance standards. With capabilities in manufacturing and engineering, the company contributes to Bosch’s mobility portfolio in India, particularly in areas linked to vehicle control, safety systems and evolving automotive technologies.
Recently, Bosch and Tata AutoComp Systems Limited formalised plans to establish a 50:50 joint venture in India to manufacture and supply e-axles and electric traction motors, strengthening their presence in the country’s growing e-mobility market.
