In a strategic realignment, Bosch Limited announces the sale of its Building Technologies division, comprising video, access, and communication systems, to subsidiary Keenfinity India Private Limited.

Bosch reorganises building and security operations in India

As part of a global effort to restructure Bosch group's building and security services, the Indian unit of the German engineering group will transfer the building technologies business to the Indian unit of another Bosch company.

Bosch Limited has announced the sale of its Building Technologies business division to Keenfinity India Private Limited for a cash consideration of Rs. 595 crores, as part of a broader global restructuring initiative by the German parent company, Robert Bosch GmbH. The transaction, which includes the transfer of video systems, access and intrusion systems, and communication systems businesses, is expected to close by June 1, 2025.

The Building Technologies division, which currently contributes 2.4% to Bosch Limited's turnover and 2.3% to its revenue, will be acquired by Keenfinity India, a wholly-owned subsidiary of Bosch Security Systems B.V Nederland. The division recorded a turnover of Rs. 3,819 million and revenue of Rs. 3,864 million for the last financial year ending March 31, 2024.

The restructuring effort reflects Robert Bosch GmbH's global strategy to streamline operations and optimize its business portfolio. Under the terms of the agreement, Keenfinity India will make an initial payment of Rs. 450 crores, representing 75% of the purchase price, by March 1, 2025. The remaining balance, adjusted for net business expenses and working capital, will be transferred within 45 days from June 1, 2025, or on a mutually agreed date.

The transaction includes a notable provision: if Keenfinity India transfers the business to a third party at a higher price, Bosch Limited will be entitled to additional consideration equal to the difference between the third-party price and the current purchase price.

Post-transaction, the BT Business will continue to focus on its regional integrator business, emphasizing solutions and services for building security, energy efficiency, and building automation. This realignment is consistent with the German group's global vision for its building technology operations.

Bosch Limited, which reported an audited revenue of Rs. 167,271 million and profit from operations of Rs. 24,905 million in FY 2023-24, maintains a strong presence across various sectors including mobility solutions, industrial technology, consumer goods, and building and energy technology. The company's diverse portfolio spans diesel and gasoline fuel injection systems, automotive aftermarket products, electric power tools, security systems, and industrial and consumer energy products.

The transaction has been structured as a related party transaction at arm's length, with KPMG Valuation Services LLP providing the valuation report. Notably, this sale will not impact Bosch Limited's shareholding pattern, as confirmed in the disclosure.

Keenfinity India Private Limited, incorporated on December 25, 2024, with its registered office in Hosur Road, Adugodi, Bangalore, specializes in developing, manufacturing, and operating various technological solutions, including mechanical, electrotechnical, electronic, and software-based products and systems. The company's establishment and this acquisition align with Robert Bosch GmbH's strategic global reorganization of its building technology business segment.
