Bain Capital-backed Dhoot Transmission Files Confidential IPO Papers With Sebi

Auto components manufacturer Dhoot Transmission, backed by private equity firm Bain Capital, has filed draft papers with the Securities and Exchange Board of India (Sebi) under the confidential pre-filing route, signalling the company’s intent to tap the primary markets.

The development was disclosed through a public filing advertisement issued by the company, a regulatory requirement under Sebi norms for issuers opting for the confidential filing mechanism. The move allows companies to keep sensitive business and financial details out of the public domain during the early stages of the IPO process.

Founded over two decades ago by promoter Rahul Dhoot, Dhoot Transmission is a key supplier to original equipment manufacturers (OEMs) across the automotive and consumer durables segments. The company has built a diversified product portfolio comprising wiring harnesses, automotive switches, electronic sensors and controllers, connectors and terminals, automotive cables, power cords and battery packs.

Dhoot Transmission’s products cater to a wide range of applications, including two-wheelers, three-wheelers, passenger vehicles and commercial vehicles. Its customer base also spans off-road vehicles, earth movers, agricultural equipment, medical equipment and domestic appliances, providing the company exposure to multiple end-use industries.

While the company has not disclosed details such as the size of the proposed issue, valuation, or the mix of fresh issue and offer for sale, the confidential filing indicates that the IPO plans are at an exploratory or preparatory stage. Under the confidential route, companies have the flexibility to withdraw or defer listing plans without making detailed disclosures public.

The proposed listing comes at a time when auto component manufacturers are drawing investor interest, supported by steady vehicle demand, increasing electronic content in vehicles, and a gradual shift towards electric mobility.

Further details are expected to emerge if and when Dhoot Transmission files the updated draft red herring prospectus (DRHP) for public scrutiny.
