TML Smart City Mobility Solutions Limited (TSCMSL), a wholly owned subsidiary of Tata Motors Limited (formerly TML Commercial Vehicles Limited), acquired a 26% stake in Mateshwari E-Smart Mobility (Hyderabad) Private Limited (MEMHPL) on September 28, 2026, for ₹2.60 Lakh the company informed BSE and NSE in a regulatory filing.
The investment was made to operate and maintain electric buses under a Telangana State Road Transport Corporation tender.
TSCMSL bought 26,000 equity shares of ₹10 each, at par, from the existing shareholder of MEMHPL. The payment was in cash. No governmental or regulatory approvals were required.
With the investment, MEMHPL became an associate of Tata Motors and, consequently, a related party. The company said the acquisition itself does not fall under related party transactions.
TSCMSL, along with Mateshwari Urban Transport Solutions Private Limited, a holding company of MEMHPL, has been awarded the tender for the operation and maintenance of electric buses under the Telangana State Road Transport Corporation.
Tata Motors said the acquisition of MEMHPL for this purpose falls within its business objects. It added that, through its subsidiary, it is participating in tenders issued by various municipal corporations for operating and maintaining electric buses.
MEMHPL was incorporated on August 11, 2026, under the Companies Act, 2013, to carry out the business of e-mobility. Its authorised and paid-up share capital is ₹10,00,000 each. It has no turnover history, and the company classified it under the service sector.
The disclosure was made under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and was signed by Ranjan Kumar, General Counsel and Company Secretary.
