Sona Comstar's Former Chairperson Seeks AGM Deferral Over Coercion Claims
Rani Kapur alleges she was coerced into signing documents and requests postponement of July 25 shareholders meeting.
Rani Kapur, former Chairperson and wife of Sona Comstar's founder, has requested the deferral of the company's July 25 Annual General Meeting of Shareholders, citing allegations of coercion and misrepresentation, according to CNBCTV18.
In a letter, Kapur stated she was forced to sign documents under duress and has been denied access to their contents despite repeated requests. "I was coerced into signing such documents behind locked doors and though I've requested repeatedly, the contents of such documents have never been revealed to me," she said.
Kapur asserted her position as the majority shareholder of the Sona Group, including Sona Comstar, based on the will of company founder Surinder Kapur dated June 30, 2015. "As per the Will of Surinder Kapur, the founder of Sona Comstar and the Sona Group, executed on June 30, 2015, I am the sole beneficiary of his estate and, accordingly, also a majority shareholder of the Sona Group, including the Company," she stated.
The former Chairperson also clarified that she has not authorized any individual to join the Board of Directors or represent her interests in any capacity within the company or other Sona Group entities following her son's death. "For the record, I state that I have not given any consent or officially nominated any person to come on the Board of the Company or any other Sona Group Company after my son's demise or given any consent to any person to represent me in any capacity before the Company and or any other Sona Group Company," Kapur said.
The AGM was scheduled for July 25, 2025.
