Sona Comstar Holds AGM as Scheduled Amid Request for Postponement Following Chairman’s Demise
The company confirms Rani Kapur is not a shareholder; says legal opinion supported continuing with AGM despite her last-minute deferment request.
Sona BLW Precision Forgings Ltd. (Sona Comstar), a publicly listed automotive technology company, held its Annual General Meeting (AGM) on July 25, 2025, as planned, following the sudden demise of its Chairman, Shri Sunjay Kapur, on June 12.
The Board of Directors unanimously appointed Jeffery Mark Overly as the new Chairman during its meeting on June 23. The same meeting approved convening the AGM to consider the company’s financial statements and regular matters. The AGM notice was issued on July 1 to all shareholders, in compliance with legal requirements.
In May 2019, the company had received a declaration identifying Shri Sunjay Kapur as the sole beneficial owner of the RK Family Trust, a significant shareholder of corporate promoter M/s Aureus Investments Private Limited, which holds a 28.02% stake. Public shareholders hold the remaining 71.98%. According to company records, Rani Kapur has not been a shareholder since at least 2019.
Priya Sachdev Kapur was appointed as a Non-Executive Director upon nomination from AIPL, with the appointment reviewed and approved by the Board and its Nomination and Remuneration Committee.
Late on July 24, Sona Comstar received a request from Rani Kapur seeking a deferment of the AGM. The company promptly sought legal advice, and based on counsel and her non-shareholder status, determined that postponing the meeting was not legally warranted.
The company confirmed that no documents were signed or received from Kapur following Kapur’s passing. The AGM proceeded as scheduled and was conducted in full adherence to applicable regulations.
