Sona Comstar announced several outcomes from its Board of Directors meeting held on Monday. The Board posthumously designated Late Sunjay Kapur as “Chairman Emeritus” in recognition of his significant leadership contributions and lasting impact on the company. Kapur, who served as Chairman since 2019, had played a pivotal role in expanding Sona Comstar’s global operations and steering its entry into future mobility technologies and sustainable solutions.
To succeed him, Jeffrey Mark Overly has been appointed as the new Chairperson of the Board. Overly, currently serving as an Independent Director since 2021, was recently reappointed for a second term of five years, subject to shareholder approval in the upcoming AGM. He brings over four decades of experience in global operations and private equity, having worked with companies like General Motors, Kohler, and Blackstone.
The Board also approved the appointment of Priya Sachdev Kapur as an Additional Non-Executive Director, pending shareholder approval. A seasoned entrepreneur and investor, Kapur is known for her diverse experience across investment banking, luxury retail, and social impact initiatives.
Additionally, the company has proposed amendments to its Memorandum of Association to align with its evolving global mobility vision and has reconstituted key Board committees, including the CSR, Capex, and ESG Committees, to reflect the new leadership structure.
