Samvardhana Motherson Dissolves Inactive Chinese Trading Subsidiary
Shanghai Market Authorities Remove Trading Unit Following Shareholder Approval for Closure.
Samvardhana Motherson International Limited has formally dissolved its indirect wholly owned subsidiary, Motherson DRSC Automotive Product Trading (Shanghai) Company Limited. The closure was completed after the entity's shareholders approved the dissolution, leading the Market Regulation Administration of Shanghai to remove the trading company from its register.
The Chinese subsidiary was originally acquired by Samvardhana Motherson on October 2, 2023, as part of its broader global acquisition of the Dr. Schneider Holding GmbH Group. According to regulatory filings, the Shanghai-based unit was not carrying out any active business or commercial operations, prompting the decision to close the entity. The Market Regulation Administration of Shanghai approved the dissolution effective from June 29, 2026, with the official confirmation received by the parent company on July 1, 2026.
Motherson says that the closure has no measurable material impact on the parent group's consolidated books. During the 2025–26 financial year, the Shanghai unit recorded an income of INR 50 million and maintained a net worth of INR 25 million. These figures contributed 0 percent to the consolidated revenue and net worth of Motherson at the close of the fiscal period, the company stated.
