Samvardhana Motherson Completes Acquisition of Controlling Stake in Yutaka Giken

Samvardhana Motherson International Limited has completed the acquisition of an 81 per cent stake with voting rights in Japan-based Yutaka Giken Co. Ltd. through its indirect wholly owned subsidiary, Motherson Global Investments B.V.

The final transaction was closed on July 21, 2026, following the completion of a share buyback by Honda Motor Co. Ltd. Under the revised ownership structure, Motherson Global Investments holds an 81 per cent voting stake in Yutaka Giken, while Honda Motor retains the remaining 19 per cent. The transaction also includes an 11 per cent stake in Shinnichi Kogyo Co. Ltd., a subsidiary in which Yutaka Giken holds a 62 per cent interest.

The announcement marks the conclusion of a multi-step acquisition process first disclosed in August 2025. Earlier, Autocar Professional had reported that the company had realigned the completion date of the transaction from Q1FY27 to Q2FY27. The final closing was achieved following court approval of the voluntary sale decision.

Yutaka Giken, formerly listed on the Tokyo Stock Exchange, produces motor rotors, stator assemblies, drive and brake systems, and thermal management solutions.
