Rane Completes Hindustan Composites Friction Business Acquisition
Rane completes its acquisition of Hindustan Composites’ friction business, with the unit to be integrated into RML’s brake components business.
Rane (Madras) Limited (RML) has completed the acquisition of the friction business of Hindustan Composites Limited (HCL), following the fulfilment of regulatory approvals and other closing conditions.
The Business Transfer Agreement for the transaction was signed on June 30, 2026. RML announced completion of the acquisition on August 21, 2026, with HCL’s friction business set to be integrated into RML’s Brake Components Business.
The integration will be carried out in phases, with RML stating that it will focus on operational synergies and the complementary capabilities of the two businesses.
Rane Friction Business Acquisition To Be EPS Accretive
RML said the acquisition is expected to be earnings-per-share (EPS) accretive from the first year onwards. The company also expects the transaction to create further opportunities for revenue and operational synergies.
The acquired business will form part of RML’s existing Brake Components Business. The company said the transaction strengthens its position in the friction business.

Rane (Madras) Limited is part of the Rane Group and manufactures steering and suspension systems, brake components, engine components and light metal casting components. Its products serve passenger vehicles, commercial vehicles, farm tractors, two-wheelers, three-wheelers, railways and stationary engines.
