NDR Auto Components Limited has announced the incorporation of its joint venture company with Japanese partner Hayashi Telempu, marking a significant step in expanding its manufacturing capabilities in the automotive components sector.
The joint venture, named NDR Hayashi Automotive India Private Limited, was officially incorporated on October 10, 2025, with the Registrar of Companies, Central Registration Centre. The company has been established with an authorized and subscribed share capital of Rs. 200 crore.
NDR Auto Components has acquired a 50 percent stake in the joint venture by subscribing to 10 crore equity shares valued at Rs. 100 crore. The transaction was completed through cash consideration, with the company maintaining equal partnership with Hayashi Telempu in the new entity.
The joint venture will focus on manufacturing various automotive interior components, including ambient lighting systems, carpets, dashboard inner parts, rear shades, and tonneau covers. These products will cater to original equipment manufacturers operating in India while also targeting export opportunities.
The incorporation follows the board approval granted on May 9, 2025, when NDR Auto Components' directors sanctioned the formation of the joint venture agreement with Hayashi Telempu. The registered office of the new company will be located in Delhi.
According to the disclosure filed with stock exchanges, NDR Hayashi Automotive India Private Limited has become a related party of NDR Auto Components. However, the promoter and promoter group companies hold no additional interest in the transaction beyond the subscribed share capital.
The joint venture requires no governmental or regulatory approvals for its operations. NDR Auto Components is listed on both the Bombay Stock Exchange and National Stock Exchange of India, trading under the symbol NDRAUTO.
The company's corporate office is located at the Maruti Joint Venture Complex in Gurugram, Haryana, while its registered office is situated at Aerocity near Indira Gandhi International Airport in New Delhi.
