Motherson Completes Acquisition of 15 MW Solar Project SPV

Samvardhana Motherson International Limited has completed its acquisition of Onega Solar Private Limited through its wholly owned subsidiary Motherson New Energy Limited, the company announced in a regulatory filing on Tuesday. The transaction gives the company full ownership of the special purpose vehicle established for a 15 megawatt peak solar project in Uttar Pradesh.

The acquisition was executed through Motherson New Energy Limited, which purchased equity shares and compulsorily convertible debentures representing 100 percent ownership of Onega Solar Private Limited. Following the completion of conditions precedent, the SPV became an indirect subsidiary of Samvardhana Motherson International Limited on December 24, 2025.

Onega Solar Private Limited operates as a special purpose vehicle for developing a 15 MWp Group Captive Solar Project located in Uttar Pradesh. The company had initially disclosed its intention to pursue this acquisition in a letter dated November 13, 2025.

The transaction aligns with the company's sustainability objectives while providing long-term cost efficiencies and reducing carbon emissions across its domestic operations.
