Inside the Iveco Takeover Vote: What Changed, What Stayed Intact, and What Comes Next

What Has Changed: The 80% Threshold

Following the Extraordinary General Meeting (EGM) held in Amsterdam on October 16,  Iveco Group N.V. shareholders voted in favor of every resolution submitted by the Board of Directors concerning the voluntary public tender offer. The offer is being pursued by TML CV Holdings Pte. Ltd. via TML CV Holdings B.V.

The primary operational shift is the activation of the Back-End Resolution. Passing this measure officially lowers the minimum acceptance condition required for the transaction from 95% to 80% of Iveco Group’s common shares.

Alongside the threshold reduction, the EGM approved structural corporate mandates scheduled to take effect at or after settlement:
(a) Iveco Group N.V. is authorized to convert from a public limited company  into a private limited liability company  following delisting, at a time determined by the offeror.
(b) Amendments to the Articles of Association will take effect simultaneously with settlement, at which point resigning board members will be discharged and a newly appointed slate will take office.
(c) Iveco will terminate its legacy loyalty voting structure. Special Voting Shares terms will be amended at settlement, the board is authorized to repurchase them for no consideration , and all Special Voting Shares as well as treasury-held common shares will be cancelled.

Offer Terms and Non-Unanimous Takeover Limits

The EGM approvals for charter amendments, conversion to a B.V., board appointments, and the cancellation of special voting shares were mandatory contractual conditions precedent that the bidder required before being obligated to declare the offer unconditional. The pricing and core legal framework remain governed by the 4 September 2026 Offer Document as modified by the 9 October 2026 price revision announcement.

Crucially, an 80% stake does not grant immediate 100% statutory squeeze-out rights under Dutch corporate law, which generally requires a 95% threshold. If final acceptances land between 80% and 95%, TML CV Holdings must execute an asset-level restructuring:
(a) Splitting the operational assets out of the listed vehicle at the offeror's discretion.
(b) Selling the shares or operating business directly to the offeror.
(c) Dissolving the remaining entity, appointing a liquidator, and distributing net liquidation proceeds to remaining public shareholders.
