Hero MotoCorp invests Rs 959.99 crore in Ather Energy

Hero MotoCorp has subscribed to 76,19,047 convertible warrants issued by Ather Energy on a preferential basis for an aggregate subscription amount of Rs 959.99 crore. Each warrant is convertible into one equity share of Ather Energy.

The investment follows Hero MotoCorp’s earlier decision to invest up to Rs 1,000 crore in Ather Energy, its associate company, through subscription to Ather’s preferential issue.

Ather Energy has allotted the warrants to Hero MotoCorp at an issue price of Rs 1,260 per warrant. The aggregate subscription amount for the 76,19,047 warrants is Rs 959.99 crore.

Hero MotoCorp’s Ather Energy investment

Hero MotoCorp has paid Rs 239.99 crore, equivalent to 25 per cent of the issue price per warrant. The remaining 75 per cent per warrant will be payable when Hero MotoCorp exercises the warrants, at its option, to convert them into equity shares of Ather Energy.

The transaction has been disclosed by Hero MotoCorp under Regulation 30 of the SEBI Listing Regulations. The company’s filing is dated August 25, 2026.

The warrants were issued in accordance with the Companies Act, 2013, and the SEBI Issue of Capital and Disclosure Requirements Regulations, 2018.
