Endurance Technologies Acquires Fondalpress For €12.34 Million
Endurance Technologies has acquired 100 percent of Italian aluminium component maker Fondalpress to expand die-casting capacity and customer reach in Europe.
Endurance Technologies has acquired 100 percent of Fondalpress SpA, Italy, through its wholly owned subsidiary Endurance Overseas SpA (EOSpA), for an agreed consideration of €12.34 million.
EOSpA acquired 100 percent of Fondalpress through the purchase of its parent company, Anna Milena SpA, which held a 99.5 percent stake in Fondalpress, along with the remaining 0.5 percent directly from individual shareholders. The Share Purchase Agreement was signed on October 6, 2026, with signing and closing taking place simultaneously.
Fondalpress is engaged in the die-casting and machining of aluminium components for automotive applications. The company is based in Italy and was incorporated in 1969. Endurance said the acquisition is intended to strengthen its aluminium die-casting components business in Europe by expanding manufacturing capacity and customer reach.

The transaction gives EOSpA ownership of Fondalpress's land and building, machinery and existing manufacturing infrastructure. Endurance said this provides an opportunity to expand production capacity and insource products that are currently outsourced.
The acquisition was completed for cash consideration of €12.34 million. The target companies held cash and cash equivalents of around €10.10 million, bringing the effective net consideration to €2.24 million. Endurance acquired 100 percent of the shareholding and voting rights in the target companies.
No government or regulatory approvals, including antitrust or Golden Power clearances, were required for the transaction. Ownership and control transferred to EOSpA upon execution of the SPA.
Fondalpress Financial Performance
Fondalpress recorded turnover of €36.40 million and profit after tax of €0.30 million in 2023. Its turnover declined to €32.20 million in 2024, with PAT at €0.04 million.
For 2025, Fondalpress reported provisional turnover of €26.60 million and a loss of €0.50 million. The 2025 figures are based on unaudited or provisional management accounts and remain subject to approval of the statutory financial statements.
Anna Milena, the parent company acquired as part of the transaction, is engaged in holding and management of real estate properties. It reported turnover of €0.40 million in each of 2023, 2024 and 2025, while PAT stood at €0.10 million, €0.40 million and €0.10 million, respectively. The company was incorporated in 1969.
