Bosch Ltd has entered into a joint venture agreement with Wheels India Ltd and Brakes India Pvt Ltd to develop and manufacture electronically controlled and software-driven air system solutions for commercial vehicles, according to a company press release.
The proposed venture will be a 50:50 partnership between Bosch and the TSF Group companies — Wheels India and Brakes India — and is expected to commence operations by the end of 2026, subject to regulatory approvals.
The joint venture will focus on engineering, manufacturing, and sales of air compression, air processing, air suspension, and air parking brake modules for commercial vehicles.

The companies said the partnership aims to address rising demand for greater efficiency, safety, and automation in commercial vehicles, as the industry shifts from mechanical systems towards software-driven vehicle architectures.
“The commercial vehicle industry is at a pivotal moment, shifting from mechanical hardware to software-driven architecture,” said Sandeep Nelamangala, Joint Managing Director, Bosch Ltd and President, Bosch Mobility India. “With air systems being an important portfolio extension, the planned joint venture enhances Bosch’s overall commercial vehicle motion management portfolio.”
The venture will have its registered office in Chennai, while the global supply chain, including India operations, will be managed by entities of Bosch, Brakes India, and Wheels India.
According to the exchange filing, the joint venture company will initially be incorporated with paid-up equity capital of up to ₹1 lakh, subscribed equally by Bosch and the TSF companies. Within 60 days of incorporation, the partners will infuse additional capital equivalent to €1 million in a 50:50 ratio.
The partners will contribute further capital in proportion to their shareholding, depending on future business and funding requirements.
The JV board will comprise four directors, with Bosch nominating two directors and the TSF companies nominating the remaining two. The agreement also includes a five-year lock-in period restricting share transfers.
Brakes India Managing Director Sriram Viji said the venture would help create a more integrated system-level offering for commercial vehicle OEMs.
“We bring our strengths as one of the leading suppliers of pneumatic braking systems. Through this joint venture, we will be able to offer air braking system parts for e-enabled future mobility to customers,” Viji said.
Wheels India Chairman and Managing Director Srivats Ram said the company’s long experience in air suspension systems for buses would complement the partnership.
“Wheels India has been a pioneer in air suspension systems for buses in India for over three decades,” Ram said. “We are pleased to collaborate with Bosch on this development initiative to advance electronic air suspension systems for global customers.”
The filing said the JV company would support the production of sub-components, sales, business development, services, distribution, warehousing, and logistics for air system products in specified markets.
According to the filing, Bosch Ltd reported a turnover of ₹20,034.7 crore in FY26, while Wheels India reported a turnover of ₹5,124.4 crore. Brakes India reported a turnover of ₹7,241 crore in FY25.
