Samvardhana Motherson Completes Acquisition of Brazilian Firm Baldi

Samvardhana Motherson International Limited (SMIL) has announced the successful completion of its acquisition of Baldi Industria E Comercio Ltda., a Brazil-based automotive component manufacturer. The acquisition was carried out through SMP Automotive Produtos Automotivos Do Brasil Ltda. (SMP Brasil), a 100% subsidiary of Samvardhana Motherson Automotive Systems Group B.V. (SMRP B.V.), which is itself fully owned by SMIL.

The deal, initially disclosed in December 2024, was finalized on May 2, 2025, following receipt of all necessary approvals and fulfillment of closing conditions.

This move strengthens Motherson’s presence in South America and aligns with its ongoing global expansion strategy in the automotive supply sector.

Samvardhana Motherson International Limited (SMIL) is a global supplier of automotive components, headquartered in India. The company has evolved from a single-product, single-customer operation into a diversified multinational group, serving a broad range of global automotive original equipment manufacturers (OEMs). With operations in over 40 countries, Motherson provides solutions across segments such as wiring harnesses, mirrors, polymer processing, lighting systems, and other integrated modules.

Established in 1986, Motherson has expanded significantly through both organic growth and strategic acquisitions. The company’s approach has been to acquire firms that complement its existing product lines or provide access to new geographies and technologies.

Samvardhana Motherson Automotive Systems Group B.V. (SMRP B.V.) is one of its key subsidiaries, responsible for operations in areas such as polymer modules and vision systems. SMIL continues to support its global customers with localized production and engineering services, adhering to OEM standards and quality requirements.

The group’s business model is based on close collaboration with customers, scalability of operations, and long-term partnerships. It also places emphasis on sustainability and innovation, aligning its processes with environmental regulations and automotive industry trends such as electrification and lightweighting.

The company is listed on Indian stock exchanges and complies with regulatory frameworks, including disclosure and governance norms. Recent developments include acquisitions that support its global integration strategy. For instance, its acquisition of Brazil-based Baldi Industria E Comercio Ltda. through its subsidiary SMP Brasil further extends its footprint in the South American market.
